Any client wishing to purchase, sell, refine, smelt, assay, store, transport, export or otherwise transact in precious metals, or engage IPM KAL for any related service, may be required to complete onboarding, due diligence, Know Your Customer (“KYC”), Anti-Money Laundering (“AML”), sanctions screening, source-of-funds checks, source-of-metal checks, source-of-wealth checks and any other compliance requirements.
IPM KAL reserves the right to:
request personal, corporate, ownership, licensing, source-of-funds, source-of-metal, transaction and supporting documents;
verify the identity, authority and eligibility of any client, supplier, counterparty or representative;
refuse to onboard any client or counterparty;
delay, suspend, reject or cancel any engagement, transaction or service where compliance checks are incomplete, unsatisfactory or raise concerns;
report suspicious activity where required or appropriate under applicable law;
refuse to act where a transaction may breach applicable laws, sanctions, AML/CFT requirements, responsible sourcing standards, internal policies or regulatory expectations.
No transaction or service engagement is confirmed until IPM KAL has completed all required checks and has issued written confirmation.
5. Products, Services and Availability
Descriptions of services, facilities, refining, smelting, assaying, vaulting, storage, transport, export coordination, logistics or related arrangements on this website are provided for general information only.

IPM KAL may reject, suspend or delay processing where material, documentation, ownership, origin, compliance or safety concerns arise.
Specific terms relating to testing, sampling, chain of custody, weighing, purity determination, deductions, refining charges, settlement, loss tolerance, rejected material and dispute resolution should be agreed separately in writing.
9. Delivery, Logistics, Vaulting and Storage
Where IPM KAL assists with delivery, logistics, custody, vaulting, storage or export arrangements, such services may involve third-party providers, security companies, regulated storage facilities, carriers, insurers, customs agents, refiners, processors, laboratories, banks, government agencies or other service providers.
Delivery, logistics, storage and export arrangements may be subject to:
verification and compliance checks;
chain-of-custody requirements;
customs clearance;
export permits or regulatory approvals;
insurance terms;
jurisdictional rules;
third-party provider terms;
transportation availability;
security requirements;
force majeure events;
operational delays.
IPM KAL does not guarantee uninterrupted access to storage facilities, immediate delivery, fixed delivery timelines, customs clearance, export approval, third-party performance or availability of logistics routes.
Specific terms relating to custody, storage, delivery, title transfer, risk transfer, insurance, export documentation, liability and settlement must be agreed separately in writing before any transaction or service is undertaken.
10. Risk Disclosure
Precious metals transactions, sourcing, processing, refining, smelting, storage, delivery, export and related supply chain arrangements involve risks. By using this website or engaging with IPM KAL, you acknowledge that such risks may include, but are not limited to, the following.
10.1 Market and Price Risk
Precious metals prices can rise or fall. The value of metals may fluctuate due to global supply and demand, currency movements, interest rates, inflation expectations, market liquidity, geopolitical events, central bank activity and broader economic conditions.
Past performance is not a reliable indicator of future performance.
10.2 Liquidity Risk
Certain metals, quantities, forms, qualities, locations or delivery arrangements may be less liquid than others. There may be delays, discounts, premiums or additional costs when buying, selling, processing, refining, transporting, storing or converting metals into another form.
10.3 Political, Geopolitical and Country Risk
Metals supply chains may be affected by political instability, changes in government policy, sanctions, trade restrictions, export or import controls, civil unrest, war, terrorism, expropriation, local licensing requirements, corruption risks, regulatory intervention or changes in local operating conditions.
Such events may delay, restrict, suspend or prevent sourcing, processing, transport, storage, export, delivery or settlement.
10.4 Regulatory and Legal Risk
Laws and regulations relating to precious metals, licensing, AML, sanctions, customs, taxation, trade, export controls, environmental standards, responsible sourcing and financial crime compliance may change.
Regulatory changes may affect the ability to provide services, complete transactions, move metals, store metals, refine metals, smelt metals, export metals, or deal with certain jurisdictions, clients, suppliers or counterparties.
GoldBod identifies multiple gold-sector licence categories, including refinery licensing, and describes GoldBod as the sole authority with rights relating to buying, selling, weighing, grading, assaying, valuing and exporting gold and other precious minerals in Ghana.
10.5 Force Majeure Risk
IPM KAL shall not be responsible for any delay, failure or inability to perform caused by events beyond its reasonable control. Such events may include, but are not limited to:
acts of God, natural disasters, earthquakes, floods, storms, fires or pandemics;
war, invasion, terrorism, civil unrest, riots or political instability;
sanctions, embargoes, export bans, import restrictions or changes in law;
government action, regulatory intervention, licence suspension or border closures;
any updates or changes to the licensing processes;
strikes, labour disputes or transport disruptions;
failure of utilities, communications, internet, banking or settlement systems;
cyber incidents, system outages or third-party technology failures;
refinery, vault, carrier, insurer, customs agent, laboratory or other third-party provider failure;
shortages of metal, fuel, equipment, personnel, secure transport capacity or processing capacity.
Where a force majeure event occurs, IPM KAL may suspend, delay, modify or cancel affected services, transactions or obligations without liability, subject to applicable law and any specific written agreement.
10.6 Logistics, Transport and Custody Risk
Transporting and storing precious metals involves operational and security risks, including loss, theft, damage, delay, customs issues, insurance exclusions, route disruption, documentation errors, third-party failure and security incidents.
Insurance coverage may be subject to limits, exclusions, deductibles, claim procedures and conditions.
10.7 Counterparty and Third-Party Risk
IPM KAL may work with third-party providers, including refiners, processors, assay laboratories, vaulting providers, logistics providers, insurers, customs agents, auditors, compliance providers, banks, professional advisers and government agencies.
IPM KAL is not responsible for losses caused by third-party acts, omissions, delays, insolvency, operational failures or breach of their own obligations, except where liability cannot be excluded by law or where otherwise agreed in writing.
10.8 Responsible Sourcing and Supply Chain Risk
Although IPM KAL seeks to work with compliant and responsible entities, precious metals supply chains may involve complex jurisdictional, environmental, social, governance, human rights and traceability considerations.
IPM KAL may suspend, reject or terminate transactions, suppliers or counterparties where responsible sourcing, sanctions, AML, human rights, environmental, security, ownership or governance concerns arise.
10.9 Tax, Customs and Reporting Risk
Clients are responsible for obtaining their own tax, accounting, customs and legal advice. The purchase, sale, storage, transport, refining, smelting, export or ownership of precious metals may have tax, customs, VAT, reporting or disclosure consequences depending on the client’s jurisdiction and circumstances.
11. Compliance, Sanctions and Prohibited Activity
You must not use this website or engage with IPM KAL in connection with any activity that is unlawful, fraudulent, sanctioned, deceptive, abusive, harmful or otherwise prohibited.
IPM KAL may refuse to act for any person, entity, jurisdiction, transaction, supplier, source of metal or counterparty where there are compliance, AML, sanctions, legal, reputational, ethical, responsible sourcing or security concerns.
IPM KAL may report suspicious or prohibited activity to relevant authorities where required or appropriate.
